Terms of Service

1. Acceptance of Terms

By accessing or using the NetGrind platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and NetGrind ("we," "us," or "our").

2. Description of Service

NetGrind is a software-as-a-service (SaaS) platform that enables users to create, manage, and deliver online educational content. The Service includes tools for content creation, student management, progress tracking, and related features. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Each individual may maintain only one account. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Subscription and Payments

Access to certain features of the Service requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase) through our payment processor, Stripe, Inc.

  • Pricing: Subscription fees are displayed at checkout. We reserve the right to change pricing upon thirty (30) days' notice. Price changes will apply to the next billing cycle following the notice period.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.
  • Refunds: All subscription fees are non-refundable. No pro-rata refunds or credits will be issued for partial billing periods or unused features.
  • Failed Payments: If a payment fails, we may retry the charge, suspend your access to paid features, or downgrade your account until payment is successfully processed.

5. User-Generated Content

The Service allows you to create, upload, and share content, including but not limited to educational courses, written materials, images, and other media ("User Content").

  • Ownership: You retain all intellectual property rights in your User Content. NetGrind does not claim ownership of any content you create.
  • License Grant: By uploading User Content to the Service, you grant NetGrind a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license terminates when you delete your User Content or your account, except where copies are reasonably necessary for backup or legal compliance.
  • Prohibited Content: You may not upload content that is illegal, infringes on the intellectual property rights of others, contains malware, is defamatory, obscene, threatening, or otherwise violates these Terms or applicable law.
  • Enforcement: We reserve the right, but are not obligated, to review, remove, or disable access to any User Content that violates these Terms, without prior notice.

6. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our written consent;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Distribute viruses, malware, or other harmful code through the Service;
  • Use the Service for any purpose that is unlawful or prohibited by these Terms.

7. Intellectual Property

The Service, including its design, source code, branding, logos, trademarks, and all proprietary features, is the exclusive property of NetGrind and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, except as expressly permitted by law.

8. Third-Party Services

The Service integrates with third-party providers, including but not limited to Stripe (payment processing), Supabase (authentication and database hosting), and Discord (community features). Your use of these third-party services is governed by their respective terms of service and privacy policies. NetGrind is not responsible for the availability, accuracy, or conduct of any third-party service, and shall not be liable for any loss or damage arising from your use of such services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NETGRIND, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE.

NETGRIND'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO NETGRIND DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NETGRIND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Account Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, to us, or to third parties, or for any other reason.

You may delete your account at any time by contacting us at contact@netgrind.online.

Upon termination: (a) your right to access the Service will immediately cease; (b) we may delete your account data and User Content within a reasonable period; (c) any outstanding payment obligations will survive termination.

12. Indemnification

You agree to indemnify, defend, and hold harmless NetGrind and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NetGrind is established, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction, as permitted by applicable law.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NetGrind regarding the use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and NetGrind.
